IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION & CLASS ACTION WAIVER
PLEASE CAREFULLY REVIEW THESE TERMS. THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER (SECTION 18). BY REGISTERING, ACCESSING, OR UTILIZING PLATWEBINAR, YOU AGREE THAT DISPUTES BETWEEN YOU AND PLAT TOOLS INC. WILL BE RESOLVED BY MANDATORY INDIVIDUAL BINDING ARBITRATION, AND YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR PRIVATE ATTORNEY GENERAL CAPACITY.

1. WELCOME TO PLATWEBINAR!
Welcome to PlatWebinar, an enterprise-grade synchronous and asynchronous broadcasting software platform owned and operated by Plat Tools Inc. (“Plat Tools,” “we,” “us,” or “our”). PlatWebinar delivers interactive media distribution, high-definition real-time communication protocols, synchronized polling, simulated live scheduling, attendee tracking, and automated presentation delivery.
By accessing our website, creating an account, launching or broadcasting a webinar, integrating via our REST or WebSocket APIs, or attending any digital session orchestrated via PlatWebinar, you agree to be bound by all terms, conditions, policies, and notices stated in this Terms of Service Agreement (the “Terms”). If you do not accept these Terms in their entirety, you are strictly prohibited from utilizing the PlatWebinar infrastructure.
2. PARTIES TO THE TERMS OF USE AGREEMENT
This Agreement establishes a legally enforceable contract between Plat Tools Inc. and the individual or business entity executing this agreement. The following definitions apply throughout these Terms:
“Plat Tools Inc.”: The parent software engineering and hosting company providing the underlying server infrastructure, routing, transcoding pipelines, and proprietary dashboard interfaces.
“PlatWebinar”: The branded software-as-a-service application suite, including admin workspaces, presenter staging rooms, attendee portal rooms, APIs, and client-side web applications.
“Customer” or “Host”: Any verified corporate account holder or administrative licensee configuring, scheduling, financing, or initiating webinars or broadcasts.
“Attendee”: Any individual who accesses or participates in a live, automated, or recorded webinar room hosted via the PlatWebinar infrastructure.
“User”: Any visitor, Host, Attendee, co-presenter, or moderator interacting with PlatWebinar domains or edge networks.
3. USE OF INFORMATION FROM PLATWEBINAR
All software components, UI layouts, interactive polling engines, transmission algorithms, documentation, performance benchmarks, and source code powering PlatWebinar are proprietary trade secrets of Plat Tools Inc. You are granted a limited, revocable, non-transferable, non-exclusive license to use the service strictly according to your purchased subscription tier.
You agree that you will not: (i) scrape, data-mine, spider, or crawl our live streams, attendee chat streams, or administrative panels; (ii) reverse engineer, decompile, or disassemble any binary, script, or network handshake; (iii) mirror or duplicate PlatWebinar interface layouts for competing commercial products; or (iv) commercially exploit our system performance data without prior written authorization.
Stipulated Liquidated Damages
Because unauthorized commercial scraping, systematic asset copying, or unlawful reverse engineering inflicts profound, irremediable injury to Plat Tools Inc. that is arduous to calculate, the user agrees that unauthorized commercial extraction or willful distribution of our platform architecture shall incur agreed-upon liquidated damages of $100,000 USD per violation, without prejudice to our right to seek equitable injunctive relief.
4. PLATWEBINAR SMS OPT-IN INFORMATION
Upon opting into PlatWebinar communication, we will reach out from time to time with product updates, recommendations, and more.
You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

5. OWNERSHIP OF PLATWEBINAR OR RIGHT TO USE, SELL, PUBLISH CONTENTS
PlatWebinar and its contents are owned or licensed by Plat Tools. Material contained on PlatWebinar must be presumed to be proprietary and copyrighted. Visitors have no rights whatsoever in the site content. Use of PlatWebinar content for any reason is unlawful unless it is done with express contract or permission of Plat Tools.
6. BANDWIDTH USAGE / FAIR USE POLICY
The bandwidth allowance included with all plans applies to all web page & media content in your account. You may not circumvent bandwidth limits by opening multiple accounts. If you exceed your bandwidth allowance, we may, at our discretion, charge fees for excess usage, require you to upgrade to a more suitable plan, or terminate your account(s) upon advance written notice.
7. USER ACCOUNT & DATA DELETION POLICY
Plat Tools reserves the right to permanently delete any user account and its associated data (including events, registrants, videos, domains, subaccounts, pages, etc.) from our servers at any time, for any reason. Inactive or unpaid accounts may be removed periodically. While we typically provide several days' notice before deletion, this is purely a courtesy and we reserve the right to delete any data from our servers at any time for any reason.
8. HYPERLINKING TO SITE, CO-BRANDING, “FRAMING” AND REFERENCING SITE PROHIBITED
Unless expressly authorized by Plat Tools, no one may hyperlink PlatWebinar, or portions thereof, (including, but not limited to, logotypes, trademarks, branding or copyrighted material) to theirs for any reason. Further, you are not allowed to reference the URL (website address) of PlatWebinar in any commercial or non-commercial media without express permission, nor are you allowed to ‘frame’ the site. You specifically agree to cooperate with Plat Tools to remove or de-activate any such activities and be liable for all damages. You hereby agree to liquidated damages of US $100,000.00 plus costs and actual damages for violating this provision.
9. DISCLAIMER FOR CONTENTS OF PLATWEBINAR
Plat Tools disclaims any responsibility for the accuracy of the content of PlatWebinar. Visitors assume all risk of viewing, reading, using, or relying upon this information. Unless you have otherwise formed an express contract to the contrary with Plat Tools, you have no right to rely on any information contained herein as accurate. Plat Tools makes no such warranty.
10. DISCLAIMER FOR HARM CAUSED TO YOUR COMPUTER OR SOFTWARE FROM INTERACTING WITH PLATWEBINAR OR ITS CONTENTS. VISITOR ASSUMES ALL RISK OF VIRUSES, WORMS, OR OTHER CORRUPTING FACTORS.
Plat Tools assumes no responsibility for damage to computers or software of the Visitor or any person the Visitor subsequently communicates with from corrupting code or data that is inadvertently passed to the Visitor’s computer. Again, Visitor views and interacts with PlatWebinar, or banners or pop-ups or advertising displayed thereon, at his own risk.
11. DISCLAIMER FOR HARM CAUSED BY DOWNLOADS
Visitor downloads information from PlatWebinar at his own risk. Plat Tools makes no warranty that downloads are free of corrupting computer codes, including, but not limited to, viruses and worms.
12. LIMITATION OF LIABILITY
By viewing, using, or interacting in any manner with PlatWebinar, including banners, advertising, or pop-ups, downloads, and as a condition of Plat Tools to allow his lawful viewing, Visitor forever waives all right to claims of damage of any and all description based on any causal factor resulting in any possible harm, no matter how heinous or extensive, whether physical or emotional, foreseeable or unforeseeable, whether personal or business in nature.
13. EVENT LIABILITY DISCLAIMER
Plat Tools provides PlatWebinar on an "as-is" and "as-available" basis. We make no guarantees regarding the uninterrupted operation, performance, or outcome of any event hosted using our service. Under no circumstances shall Plat Tools Inc., or any of its officers, employees, or affiliates be liable for any direct, indirect, incidental, consequential, special, or punitive damages — including but not limited to lost revenue, lost sales, lost leads, lost data, reputational harm, or missed business opportunities — arising out of or related to your use of PlatWebinar or any event hosted on it. This includes, without limitation, damages resulting from: server downtime or outages, technical failures or bugs, internet or third-party service disruptions, registrant or attendee conduct (including disruptive, abusive, or unlawful behavior), failed or delayed email or SMS delivery, recording or playback failures, integration or webhook failures, and any other issue affecting the delivery, attendance, or outcome of your event. You assume all risk associated with hosting events on PlatWebinar and are solely responsible for your content, your attendees, and the commercial outcomes of your events.
14. INDEMNIFICATION
Visitor agrees that in the event he causes damage, which Plat Tools is required to pay for, the Visitor, as a condition of viewing, promises to reimburse Plat Tools for all.
15. SUBMISSIONS
Visitor agrees as a condition of viewing, that any communication between Visitor and Plat Tools through PlatWebinar is deemed a submission. All submissions, including portions thereof, graphics contained thereon, or any of the content of the submission, shall become the exclusive property of Plat Tools and may be used, without further permission, for commercial use without additional consideration of any kind. Visitor agrees to only communicate that information to Plat Tools, which it wishes to forever allow Plat Tools to use in any manner as it sees fit. “Submissions” is also a provision of the Privacy Policy.
16. NOTICE
No additional notice of any kind for any reason is due Visitor and Visitor expressly warrants an understanding that the right to notice is waived as a condition for permission to view or interact with PlatWebinar.
17. REFUNDS
Given the nature of software as a service, we do not offer a refund or credit on subscription purchases for PlatWebinar.
We will assess refunds or credit requests on their merits. There is generally no obligation to provide a refund or credit in situations like the following:
You have changed your mind about a subscription purchase.
You purchased a subscription by mistake.
You do not have sufficient expertise to use the purchased subscription.
18. DISPUTES
As part of the consideration that Plat Tools requires for viewing, using or interacting with PlatWebinar, Visitor agrees to use binding arbitration for any claim, dispute, or controversy (“CLAIM”) of any kind (whether in contract, tort or otherwise) arising out of or relating to this purchase, this product, including solicitation issues, privacy issues, and terms of use issues.
Arbitration shall be conducted pursuant to the rules of the American Arbitration Association which are in effect on the date a dispute is submitted to the American Arbitration Association. Information about the American Arbitration Association, its rules, and its forms are available from the American Arbitration Association, 335 Madison Avenue, Floor 10, New York, New York, 10017-4605. Hearing will take place in the city or county of the Seller (Plat Tools).
In no case shall the viewer, visitor, member, subscriber or customer have the right to go to court or have a jury trial. Viewer, visitor, member, subscriber or customer will not have the right to engage in pre-trial discovery except as provided in the rules; you will not have the right to participate as a representative or member of any class of claimants pertaining to any claim subject to arbitration; the arbitrator’s decision will be final and binding with limited rights of appeal.
The prevailing party shall be reimbursed by the other party for any and all costs associated with the dispute arbitration, including attorney fees, collection fees, investigation fees, travel expenses.
19. JURISDICTION AND VENUE
If any matter concerning this purchase shall be brought before a court of law, pre- or post-arbitration, Viewer, visitor, member, subscriber or customer agrees to that the sole and proper jurisdiction to be the state and city declared in the contact information of the web owner (Plat Tools) unless otherwise here specified. In the event that litigation is in a federal court, the proper court shall be the closest federal court to Plat Tools’ address.
20. APPLICABLE LAW
Viewer, visitor, member, subscriber or customer agrees that the applicable law to be applied shall, in all cases, be that of the state of the Seller (Plat Tools).
